IRIS RegTech Solutions Limited (hereinafter referred to as “IRIS” or “Company” or “Us” or “We”) is a listed Fintech company in RegTech. IRIS is the owner of the mobile application “Peridot” (“App”), the website at www.irismsme.com (“Website”), and associated online forms (collectively referred to as the “Platform”). IRIS facilitates MSME/Business loans through its partner NBFCs and Banks (hereinafter referred to as “Lending Partners”).

This Terms & Conditions is an electronic record in terms of Information Technology Act, 2000 and generated by a computer system and does not require any physical or digital signatures. This document is published in accordance with the provisions of Rule 3 of the Information Technology (Intermediaries guidelines) 2011, that provides for the due diligence to be exercised for the access or usage of this Platform.

By accessing or using the Platform, you (“User” or “You” or “Your”) agree to abide by these Terms & Conditions (“Terms & Conditions”), which govern Your use of the Platform and the services offered, along with our Privacy Policy. If You do not agree to these Terms & Conditions, please refrain from using the Platform or services.

By accessing this Platform or registering your information on the Platform, the User agrees to be bound by this Terms & Conditions. This Terms & Conditions along with Privacy Policy describes our relationship with you will be subject to the rules, guidelines, policies, terms, and conditions applicable to any specific Service that is provided by this Platform and they shall be deemed to be incorporated into this Terms & Conditions and shall be considered as part and parcel of this Terms & Conditions.

We reserve the right at any time, at our sole discretion, to change or otherwise modify the Terms & Conditions without prior notice, and your continued access or use of this Platform signifies your acceptance of the updated or modified by Terms & Conditions.

GENERAL

These Terms & Conditions (T&C) apply to all services offered on the Platform, including GST Search, MSME Newsletter, MSME TV, Digital Invoicing, Government Schemes information, and Blogs (collectively, “General Services”).

Business loans are facilitated through our Lending Partners registered with the Reserve Bank of India (RBI). The loan will be offered via its Lending Partners, and the name of the lender will be communicated upfront to the User. Loans offered will be governed by the Lending Partners’ loan agreements.

The final decision regarding loan approval and sanction rests solely with the respective loan provider/lender. The Company complies with all applicable laws and regulations and ensures transparency in its role as a facilitator.

SCOPE OF SERVICES

IRIS provides the following services (“Services”) to its Users through the Platform:

Informational Content: The content, including Government Schemes information, newsletter, blogs, and MSME TV content, is provided for informational purposes only. IRIS does not guarantee or make any representation and warranties regarding the accuracy, completeness, or suitability of such information. Users are advised to verify information with official sources.

GST Search: The GST Search feature relies on public data. IRIS is a RegTech provider facilitating access to this data and shall not be liable for any losses caused on account of errors in the source data.

Digital Invoicing: This service is provided strictly as a technological facilitator. You are solely responsible for the content, compliance, and legality of all invoices generated using the Platform.

Digital Lending Services: IRIS’s Peridot App acts as a Digital Lending Application (DLA) and/or a Lending Service Provider (LSP) facilitating loan applications for a Regulated Entity (RE)-Lending Partner. The Lending Partner is responsible for sanctioning and disbursing the loan. The Company acts solely as an intermediary (LSP) on behalf of the Lending Partner for functions like customer acquisition and preliminary basic checks. The User agrees that all loan related disputes between the Lending Service Provider and the User shall be settled directly by the Lending Service Provider and the User; and IRIS shall not in any matter be responsible or assume any liability for the same.

For providing these Services, IRIS collects information from the Users and shares it with the Lending Partners and our other service providers., as per the Privacy Policy. The collection, storage, usage, and transfer of User information are governed by the Privacy Policy.

USER OBLIGATIONS

The User confirms that all information provided to the Company is true, accurate, and not misleading, and agrees to provide additional information as required for loan processing or servicing by its Lending Partners.

The User agrees that loans facilitated through Lending Partners will be governed by the respective loan agreement. The User and their heirs/executors shall comply with the terms of the applicable loan agreement. IRIS shall not be liable for any disputes arising from the loan agreements entered into between the User and Lending Partner.

The User further agrees to use the loan proceeds solely for the declared purpose and to repay the EMIs as per the repayment schedule in the loan documentation. Any delay in repayment will attract penalties/fees as per the applicable loan agreement.

LICENSE AND ACCESS

You acknowledge and agree that Company owns all legal right, title and interest in and to the Services, including any intellectual property rights which subsist in the Services (whether those rights are registered or not). You further acknowledge that the Services may contain information which is designated confidential by Company and that you shall not disclose such information without Company`s prior written consent. The contents of the Platform, including its “look and feel” (e.g. text, graphics, images, logos and button icons), photographs, editorial content, notices, software and other material are the owned/licensed by/to Company and/or its third Party Service Providers/their licensors and are duly protected by them under applicable copyright, trademark and other laws.

Company grants you a limited license to access and make use of the Platform, the Services and ancillary services. This license does not include any downloading or copying of any kind of information for the benefit of another individual, vendor or any other third party or to create a derivative work from, modify, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the Services. Any unauthorized use by you shall terminate the permission or license granted to you.

By using the Platform you agree not to: (i) use this Platform or its contents for any commercial purpose; (ii) make any speculative, false, or fraudulent transaction or any transaction in anticipation of demand; (iii) access, monitor or copy any content or information of this Platform using any robot, spider, scraper, or other automated means or any manual process for any purpose without our express written permission; (iv) violate the restrictions in any robot exclusion headers on this Platform or bypass or restrict or circumvent other measures employed to prevent or limit access to this Platform ; (v) take any action that imposes, or may impose, in our discretion, an unreasonable or disproportionately large load on our infrastructure; (vi) deep-link to any portion of this Platform (including, without limitation, the purchase path for any service) for any purpose without our express written permission; or (vii) “frame”, “mirror” or otherwise incorporate any part of this Platform into any other website without our prior written authorization.

Third-Party Service Providers

IRIS may engage third-party service providers or agents to Facilitate its Services, Provide the Services on its behalf, Perform Service-related functions; or assist in analysing how the Services are used., subject to the Privacy Policy

The User acknowledges that these third-party providers may access personal information on a need-to-know basis to render Services. in line with the Privacy Policy. Such providers are contractually obligated to not disclose or misuse the information for any other purpose., unless required under applicable law

USER COMMUNICATIONS

Accepting these Terms & Conditions constitutes the User’s express consent to being contacted by IRIS, its agents, representatives, affiliates, or authorized persons at any contact number, physical address, or electronic address provided during account registration.

The User further consents to being contacted through various means, including but not limited to SMS messages (including text messages), WhatsApp, calls using pre-recorded messages or artificial voice, calls and messages delivered via an auto-dialing or automatic texting system, and notifications sent via the Platform. Automated messages may be played when answered, whether by the User or another individual. If an agent or representative calls, they may also leave messages on the User’s voicemail, answering machine, or via SMS.

The User certifies, warrants, and represents that the contact information provided to IRIS is their own, is true, accurate, current, and complete, and not that of any third party. The User confirms their permission to receive calls at the telephone numbers and emails provided and agrees to promptly notify IRIS of any changes to their contact information.

Regarding unsolicited communications under the “National Do Not Call Registry” guidelines issued by the Telecom Regulatory Authority of India, the User acknowledges that such laws will not apply to communications, calls, SMS, or WhatsApp messages received from IRIS , its agents, representatives, affiliates, or authorized persons acting on IRIS’s behalf.

ELIGIBILITY

The User hereby declares and agrees that he/she is of legal age, of sound mind, and legally competent to enter a contract in India. The User is permitted to use IRIS’s Services in accordance with these Terms & Conditions and the Privacy Policy. By registering on the Platform or availing of any Service, the User agrees to abide by the Terms & Conditions stated herein. In case of any violation of the Terms & Conditions of IRIS or its Lending Partners, IRIS reserves the right to terminate all Services and restrict the User’s access to the Platform in the future.

USER ACCOUNT

To avail Our Services or use the Platform, you must create and maintain an account. For account creation, you are required to provide information, including but not limited to Your email ID, contact number, and any other details deemed necessary by IRIS, as outlined in the Privacy Policy. You are responsible for maintaining the confidentiality of your account credentials, including passwords/OTPs. You agree to accept responsibility for all activities occurring under your account and password/OTP. You must take all necessary precautions to ensure your password/OTP remains confidential and secure, and you must notify us immediately if you suspect your password/OTP has been compromised or is being used in an unauthorised manner.

DISCLAIMER OF WARRANTY

The User expressly understand and agree that User’s use of the Services, ancillary services and all information, products, other services and other content (including that of the third parties) included in or accessible from the Platform is at the User’s sole risk. The Services and ancillary services are provided on an “as is” and “as available” basis. Company makes no representations, warranties or guarantees, express or implied, regarding the accuracy, reliability or completeness of the content on the Website or of the services (whether or not sponsored by third party service providers), and expressly disclaims any warranties of non-infringement or fitness for a particular purpose.

The Company expressly disclaim all warranties of any kind as to the Services, ancillary services and all information, products, services and other content (including that of the third parties) included in or accessible from the services, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement.

Company and its service providers, affiliates, business partners make no warranty that (i) the services will meet the User’s requirements, (ii) the services will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the services will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by the User through the services will meet the User’s expectations, and (v) any errors in the technology will be corrected.

Prices for Services available on our Platform and are incorporated into this Terms & Conditions by reference. All prices, whether specified or not, are in Indian rupees. The Company reserves the right to modify the use and prices of Services. The User further undertake that by initiating a transaction, the User is entering into a legally binding and enforceable contract with these business partners of the Company, to avail the services using such payment facilities as may be permitted by applicable laws and as may be accepted by the Company.

[The Company does not charge any registration/membership or browsing fee. However, the Company reserves the absolute right to charge any fee for registration/ membership or browsing fee at any time. All such fees that the Company may charge will be intimated to the users and such change shall automatically become effective immediately after they are posted on the Website. All such fees charged by the Company shall be in Indian Rupees. The User’s continued use of the Company shall be deemed as an acceptance of the amended terms of the Terms & Conditions].

LIMITATION OF LIABILITY

IRIS shall not be liable for loss or damage to the User’s data or information resulting from events beyond its control, including internet issues, hacker attacks, denial of service attacks, or malicious software.

Any material downloaded or obtained through the Platform is at the User’s discretion and risk. The User is solely responsible for any damage to their device or loss of data from such actions. No advice or information obtained from IRIS or the Platform creates any warranty not expressly stated in these Terms & Conditions.

IRIS is not liable for failures or delays caused by (i) acts or omissions of Lending Partners; (ii) actions taken in good faith to comply with laws or prevent fraud; or (iii) force majeure events such as vandalism, hacking, theft, service disruptions, severe weather, or other events beyond IRIS’s control.

IRIS and its affiliates, subsidiaries, directors, officers, employees, and agents are not liable for injury, death, loss, claim, delay, or any indirect, incidental, punitive, or consequential damages, including damages caused by the User’s access to the Platform or downloads from it.

IRIS makes no representations or warranties on behalf of Lending Partners regarding the loans they provide. All liabilities related to such loans are governed by separate agreements between the Lending Partner and the User. IRIS is not responsible for actions by Lending Partners, including loan recovery processes.

Notwithstanding the above, if the Company is found liable for any proven and actual loss or damage which arises out of or in any way connected with any of the occurrences described above, then the User agrees that the liability of Company shall be restricted to, in the aggregate, any Service/transactional fees paid by the User to the Company in connection with such transaction(s)/ Services on the Platform, if applicable.

The Company has no control over the third party websites which would be provided to the User through its Platform. The User acknowledges and agrees that under no circumstance shall the Company be liable for the User using the services offered or provided by any third party service provider.

The User agrees to indemnify and hold harmless IRIS , its affiliates, directors, officers, employees, service providers, and agents from any claims, demands, losses, damages, liabilities, costs, and expenses, including legal fees, arising from the misuse of the Platform or Services, violation of these Terms & Conditions, breach of representations or warranties, infringement of intellectual property or other rights, or posting of offensive or unlawful material on the Platform. This clause shall survive the termination of these Terms & Conditions.

THIRD PARTY LINKS/ADVERTISEMENTS

Links to third-party websites on the Platform are provided solely as references in connection with the Services, over which IRIS has no control. IRIS makes no warranties regarding the content of such websites, including their accuracy, completeness, or reliability, nor does it guarantee that they are free from claims of copyright, trademark, or other rights infringement, or free of viruses or contamination. Following a link to a third-party website is at the User’s own risk. The User acknowledges that such links do not imply any endorsement of, or responsibility for, the opinions, products, or Services offered at such sites or any representation about their content.

ADDITIONAL TERMS & CONDITIONS

Company reserves the right to make changes to the Platform, related policies and agreements, this Terms & Conditions and the Privacy Policy at any time as it deems fit and proper, including but not limited to comply with changes in law or regulation, correct inaccuracies, omissions, errors or ambiguities, reflect changes in the process flow, scope and nature of the Services and ancillary services, company re-organization, market practice or customer requirements. Upon any change, Company will notify the updated Terms & Conditions on the Platform or other means. The User’s continued use of the Services and ancillary services constitutes acceptance of the changes and an agreement to be bound by Terms & Conditions, as amended. If you do not agree to the changes, you may please discontinue your use of the Services and ancillary Services.

Company reserves the right to discontinue or suspend, temporarily or permanently, the Services including ancillary services, by giving reasonable time period notice, on a best effort basis, unless it is merely to change certain features/contents of the Services and/or Platform or maintain the security and integrity of the Services. The User agrees that Company will not be liable to it in any manner whatsoever for any modification or discontinuance of the Services.

The User agrees not to use the Services and ancillary services for illegal purposes or for the transmission of material that is unlawful, harassing, libelous (untrue and damaging to others), invasive of another’s privacy, abusive, threatening, or obscene, or that infringes the rights of other.

If any of these conditions are deemed invalid, void, or for any reason unenforceable, the parties agree that the court should endeavor to give effect to the parties intentions as reflected in the provision, and the unenforceable condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition. Headings are for reference purposes only and do not limit the scope or extent of such section. This Terms & Conditions and the relationship between the User and Company will be governed by the laws of the India. In case of any contradiction or conflict between the laws of India and other jurisdictions, the laws of India shall prevail. Any dispute, controversy or claim arising out of or in relation to this Agreement, including a breach or termination thereof, shall be settled by a sole arbitrator to be appointed mutually by Company and you, in accordance with the provisions of the Arbitration and Conciliation Act, 1996, or amendment thereto. In the event we are unable to reach an agreement on the sole arbitrator, we agree to have a panel of three arbitrators appointed, of which one shall be appointed by each of us, and the third arbitrator appointed by the two arbitrators. The venue for arbitration shall be Mumbai. The arbitral procedure shall be conducted in the English language and any award or awards shall be rendered in English. The Platform specifically prohibits you from usage of any of its Services in countries or jurisdictions that do not corroborate to all stipulations of these Terms & Conditions. The Platform is specifically for users in the territory of India. In case of any dispute, either judicial or quasi-judicial, the same will be subject to the laws of India, with the courts in Mumbai having exclusive jurisdiction. The failure of Company to act with respect to a breach by User or others does not waive its right to act with respect to subsequent or similar breaches. This Terms & Conditions constitutes the entire agreement between the User and Company and governs your use of the Website, superseding any prior agreements between the User and Company with respect to the Platform.
